Brian M. Steinhardt is a Partner in the Firm’s Corporate Department.  He has represented several leading private equity sponsors and their portfolio companies in connection with various bank financings, including acquisition financings.  He also advises several of the Firm's commercial and investment banking clients, other financial institutions and corporations in connection with a broad range of corporate finance transactions, including project, lease and syndicated bank financings.  He has represented Hellman & Friedman LLC, TPG Capital, L.P., Kohlberg Kravis Roberts & Co. L.P., Lehman Brothers Inc. and J. P. Morgan Securities Inc. and he recently represented the Federal Reserve Bank of New York in connection with its approximately $30 billion financing arrangement related to JPMorgan Chase & Co.’s acquisition of The Bear Stearns Companies Inc. 

Mr. Steinhardt’s experience has included the representation of:  Kohlberg Kravis Roberts & Co. L.P. and TPG Capital, L.P. in connection with the financing of their $45 billion acquisition of TXU Corp.; Encore Medical Corporation in connection with the financing of its $1.6 billion acquisition of DJO Incorporated; Hellman & Friedman LLC in connection with the financing of its $2.4 billion acquisition of Getty Images, Inc.; the financing of its $2.65 billion acquisition of Goodman Global, Inc. and the financing of its $1.8 billion acquisition of Catalina Marketing Corporation; Hellman & Friedman LLC and Texas Pacific Group in connection with the financing of their $1.3 billion acquisition of Intergraph Corporation; and Kohlberg Kravis Roberts & Co. L.P., The Blackstone Group, Texas Pacific Group and Hellman & Friedman LLC in connection with the financing of their $3.65 billion acquisition of Texas Genco LLC.  Mr. Steinhardt also advised Lehman Brothers Inc. and Credit Suisse, as arrangers, in connection the $750 million construction and term loan financing of MEG Energy Corp.’s Christina Lake oil sands project; Credit Suisse, as arranger, in connection with the $167 million project financing of ethanol facilities developed by Abengoa Bioenergy Corporation; and Credit Suisse, as arranger, in connection with the $940 million construction and leveraged lease financing of Tri-State Generation and Transmission Association’s Springerville Unit 3 coal-fired generation power project. 

Mr. Steinhardt joined the Firm in 1999.  He received his B.A., with great distinction, from McGill University in 1994 and his J.D., cum laude, from the University of Michigan Law School in 1998.
