Charles "Casey" Cogut is global head of the Mergers & Acquisitions Practice Group at Simpson Thacher & Bartlett LLP. He specializes in domestic, international and cross-border mergers and acquisitions, and transactions involving private equity firms. Over the course of his career Mr. Cogut often has been involved in coordinating teams of professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with respect to corporate governance matters and the responsibilities of directors. Mr. Cogut joined the firm in 1973 and has been a partner at Simpson Thacher since 1980. From 1990 to 1993, he served as Senior Resident Partner in the firm’s London office.
Mr. Cogut represents Wyeth, the global pharmaceuticals company, in connection with its proposed sale to Pfizer Inc. in a cash-and-stock transaction initially valued at approximately $68 billion. He also recently represented the outside directors of Anheuser-Busch Companies in connection with InBev N.V./S.A.’s acquisition of Anheuser-Busch. Mr. Cogut also oversees the firm’s relationships with adidas AG, ARAMARK, BD, Microsoft and Toll Brothers, and for more than 20 years, he has supervised and participated in Simpson Thacher’s representation of Kohlberg Kravis Roberts & Co. and many of its portfolio companies. In addition, he has regularly represented other private equity firms such as JC Flowers & Co., JLL Partners and Silver Lake Partners.
Mr. Cogut is well recognized as one of the world’s leading merger and acquisition lawyers. He has received the highest ranking among M&A lawyers given by Chambers Global 2008: Guide to the World’s Leading Lawyers for Business and by Chambers USA 2008: America’s Leading Business Lawyers. In addition, Mr. Cogut was named one of the fifteen "Most Highly Regarded Individuals-Global" in the ranking of M&A lawyers in the 2008 Edition of the International Who’s Who of Business Lawyers; and he has been named as one of "The Best of the Best" merger and acquisition lawyers in Euromoney’s 2009 Expert Guides, and one of "The Best of the Best" corporate governance lawyers and private equity lawyers in Euromoney’s 2008 Expert Guides. Mr. Cogut also received the Atlas Award as 2008 M&A Legal Counsel of the Year from the Global M&A Network.
Mr. Cogut received his J.D. in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School and Co-Chair of the Board of Advisors of the University’s Institute for Law and Economics. He is a member of the Board of Trustees of St. Ann’s School and a member of the New York Advisory Council of Appleseed.
