Charles “Casey” Cogut is a senior corporate partner at Simpson Thacher & Bartlett LLP. For many years he has been a leader of STB’s M&A and private equity practices. He specializes in domestic, international and cross-border mergers and acquisitions, representation of special committees of boards of directors, leveraged buyouts and other transactions involving private equity firms. Over the course of his career Mr. Cogut often has been involved in coordinating teams of professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with respect to corporate governance matters and the responsibilities of directors. Mr. Cogut joined the firm in 1973 and has been a partner at Simpson Thacher since 1980. From 1990 to 1993, he served as Senior Resident Partner in the firm’s London office.
Mr. Cogut represented Wyeth, the global pharmaceuticals company, in connection with its sale to Pfizer Inc. in a cash-and-stock transaction valued at approximately $68 billion, the largest merger transaction completed in 2009. In addition, he recently represented the Special Committee of independent directors of Hearst-Argyle Television, Inc. in responding to an acquisition proposal from Hearst Corporation. He also represented the outside directors of Anheuser-Busch Companies in connection with InBev N.V./S.A.’s acquisition of Anheuser-Busch. Mr. Cogut also oversees the firm’s relationships with adidas AG, ARAMARK, BD, Kerzner International, Microsoft and Toll Brothers, and for more than 20 years, he has supervised and participated in Simpson Thacher’s representation of Kohlberg Kravis Roberts & Co. and many of its portfolio companies. In addition, he regularly represents other private equity firms such as JC Flowers & Co., JLL Partners, Sageview Capital and Silver Lake Partners.
Mr. Cogut is well recognized as one of the leading corporate lawyers in the United States. He was named one of the ten “Most Highly Regarded Individuals” in the 2010 edition of the International Who’s Who of Merger & Acquisition Lawyers and in the 2010 edition of the International Who's Who of Corporate Governance Lawyers. In addition Mr. Cogut has been named a “senior statesman” in the practice areas of Corporate-Mergers and Acquisitions and Private Equity in Chambers 2010: Guide to the World’s Leading Lawyers for Business. He has also been named as one of “The Best of the Best” merger and acquisition lawyers in Euromoney’s 2009 Expert Guides, and one of “The Best of the Best” corporate governance lawyers in Euromoney’s 2010 Expert Guides. Mr. Cogut was named as a Deal Maker of the Year by the American Lawyer in both 2008 and 2010 with respect to transactions completed in 2007 and 2009, respectively. Mr. Cogut also received the Atlas Award as 2008 M&A Legal Counsel of the Year from the Global M&A Network.
Mr. Cogut received his J.D. in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School and Co-Chair of the Board of Advisors of the University’s Institute for Law and Economics. He is a member of the Board of Trustees of St. Ann’s School and a member of the New York Advisory Council of Appleseed.
