Chad Skinner is a Partner in the Firm's Corporate Department, with a focus on mergers and acquisitions. He regularly represents private equity firms, corporations and investment banks in a wide range of transactions, including leveraged buyouts, stock and asset acquisitions and dispositions, recapitalizations, mergers, PIPE financings, and general corporate and securities law matters.
Recent transactions on which Mr. Skinner has worked include the representation of:
- Hellman & Friedman in its acquisitions of Activant Solutions, Sheridan Healthcare, Getty Images, Datatel, Associated Materials and Pharmaceutical Product Development;
- Silver Lake Partners and Warburg Pincus in their acquisition of Interactive Data Corporation;
- Datatel in its combination with the Higher Education business of SunGard Data Systems;
- Silver Lake Partners in its investment in Virtu Financial in connection with Virtu’s merger with Madison Tyler;
- Sedgwick Claims Management Services in its acquisitions of Specialty Risk Services from Hartford Fire Insurance Company and the assets of Cambridge Integrated Services Group, Inc.;
- Sageview Capital in its debt and equity investment in Cinedigm Digital Cinema;
- Microchip Technology in its unsolicited offer to acquire Atmel;
- Vertafore in its acquisitions of ImageRight and Sircon and its subsequent sale to TPG Capital;
- Activant Solutions in its acquisition of the Intuit Eclipse Distribution Management Solutions business;
- Silver Lake Partners in its acquisition of Serena Software;
- Network General in its sale to NetScout Systems;
- Elevation Partners in its acquisitions of Pandemic Studios and BioWare and the subsequent sale of VG Holdings (the holding company for Pandemic Studios and BioWare) to Electronic Arts;
- CB Richard Ellis in its acquisition of Insignia Financial Group and CB Richard Ellis’s subsequent initial public offering and follow-on offering; and
- Goldman Sachs in its role as financial advisor to Emulex with respect to an unsolicited offer from Broadcom.
Mr. Skinner joined Simpson Thacher in 1997. He received his B.A., cum laude, in 1994 from Duke University and his J.D., cum laude, in 1997 from the University of Michigan School of Law, where he was a member of the Michigan Law Review. He is admitted to practice in California and New York.
