Chad Skinner is a Partner in the Firm's Corporate Department, with a focus on mergers and acquisitions. He regularly represents private equity firms, corporations and investment banks in a wide range of transactions, including leveraged buyouts, stock and asset acquisitions and dispositions, recapitalizations, mergers, PIPE financings, and general corporate and securities law matters.
Recent transactions on which Mr. Skinner has worked include the representation of:
- Vertafore in its acquisitions of ImageRight and Sircon;
- Activant Solutions in its acquisition of the Intuit Eclipse Distribution Management Solutions business;
- Hellman & Friedman in its acquisitions of Activant Solutions, Sheridan Healthcare and Getty Images;
- Network General in its sale to NetScout Systems;
- Silver Lake Partners in its acquisition of Serena Software;
- Elevation Partners in its acquisitions of Pandemic Studios and BioWare and the sale of VG Holdings (the holding company for Pandemic Studios and BioWare) to Electronic Arts;
- CB Richard Ellis in its acquisition of Insignia Financial Group and CB Richard Ellis’s subsequent initial public offering and follow-on offering; and
- Credit Suisse and Goldman Sachs in their roles as financial advisors with respect to a number of mergers and acquisitions transactions, including Goldman Sachs in its role as financial advisor to Emulex with respect to an unsolicited offer from Broadcom.
Mr. Skinner joined Simpson Thacher in 1997. He received his B.A., cum laude, in 1994 from Duke University and his J.D., cum laude, in 1997 from the University of Michigan School of Law, where he was a member of the Michigan Law Review. He is admitted to practice in California and New York.
