Joyce Y. Xu is a Partner in the Firm’s Corporate Department and heads the Firm’s derivatives practice.  Her area of concentration is equity derivatives.

Ms. Xu has broad experience having advised financial institutions, corporate clients, hedge funds and private equity funds, such as Credit Suisse, Goldman Sachs, Citigroup, JPMorgan, Sears, Seagate, China Medical, Radio Shack, KKR, J.C. Flowers, Blackstone and New Mountain, on the structuring, negotiation and documentation of equity derivative transactions including:

  • OTC hedging and monetization transactions involving forwards, options, collars and total return swaps,
  • issuer call spreads,
  • registered stock borrow facilities,
  • hedging transactions related to certain PIPES investments,
  • structured financing transactions,
  • structured issuer share repurchase transactions such as accelerated share repurchases and forward share repurchases, and
  • registered hedging transactions such as issuer forwards with registered hedge. 

Ms. Xu is a frequent presenter on various equity derivative products and documentation of equity derivatives at conferences sponsored by the International Swaps and Derivatives Association, Inc. and American Conference Institute.  Ms. Xu is the co-author of the book chapter Equity Derivatives: Selected US Legal Issues, Practical Derivatives, edited by Carolyn Boyle, Globe Law & Business, Globe Business Publishing Ltd. 2006, pp. 139-162.  Ms. Xu also authored the book chapter U.S. Corporate and Regulatory Aspects of Equity Derivatives, Equity Derivatives:  Documenting and Understanding Equity Derivative Products, Globe Law & Business, Globe Business Publishing Ltd. 2009, pp. 357-384, for which she received the Burton Award for Achievement in Legal Writing.  Ms. Xu was recognized in Chambers Global: The World’s Leading Lawyers for Business 2011 and Chambers USA: America’s Leading Lawyers for Business 2010 where “clients say she is ‘a pleasure to work with and knows the legal issues inside out, as well as possessing real zeal on our behalf.’”  Ms. Xu has also been recognized by IFLR 1000 as a leading lawyer in derivatives.

Ms. Xu joined the Firm in May 2007 and was elected partner in 2010.  She received her B.S. in chemical engineering from Pennsylvania State University in 1997 and her J.D. from Columbia Law School in 2000 where she was a Harlan Fiske Stone Scholar.  Prior to joining the Firm, Ms. Xu practiced law as a member of the equity derivatives group at a major New York City law firm.  Ms. Xu is a member of the New York State Bar Association.
