Mr. Shaw is a Partner in the Firm's Corporate Department.  He represents several leading private equity sponsors and their portfolio companies in connection with high yield and acquisition financing.   He also advises several of the Firm's investment banking clients on transactions involving high yield debt securities, loans and bridge loans and the Firm's issuer and underwriter clients in connection with IPOs and other capital markets transactions.  He has also represented borrowers and lenders in PIK financings and private placements. 

His recent private equity financing experience includes the representation of a consortium including KKR, Silver Lake, Bain Capital, Apax and AlpInvest in connection with the financing of its acquisition of NXP B.V. (formerly Philips Semiconductors) and the representation of a consortium including Apax, Blackstone, KKR, Permira and Providence in connection with the high yield financing of its acquisition of TDC A/S, the former national telecommunications provider of Denmark. 

Mr. Shaw regularly represents leading underwriters of high yield debt, including JPMorgan and Deutsche Bank, and recently represented the lead arrangers in connection with the bridge and Tranche C financing for the merger of NTL with Telewest and the subsequent acquisition of Virgin Mobile and in connection with the high yield bonds issued by NTL Cable PLC.  

He received his B.A.(Jur.) from the University of Adelaide in 1991, his LL.B.(Hons.) from the University of Adelaide Law School in 1994, an LL.M.(Comm.) from the University of Adelaide Law School in 1997 and an LL.M. from Columbia University School of Law in 1997.  He was a James Kent Scholar at Columbia in 1997.
