Simpson Thacher is a leader in organizing and bringing to market sophisticated private equity funds. The Firm has handled transactions involving LBO funds, including two of the largest sponsors of private equity funds, KKR and Blackstone, but our practice also involves hedge, venture capital and real estate funds, among others. For example, the Firm has represented the Blackstone Group, the Carlyle Group and J.E. Robert Companies in the formation of real estate opportunity funds.
The Firm's tax attorneys play an important role in structuring and documenting these private equity funds, providing advice on partnership issues and other tax considerations to the fund sponsors and to taxable and tax-exempt domestic investors, as well as foreign individual and corporate investors. The Firm also provides counsel to many clients investing in foreign jurisdictions. The Firm's tax attorneys advise our mutual fund clients to enable them to qualify for tax favorable treatment. The Firm has handled matters involving mutual funds such as Salomon Brothers Asset Management, Inc., and Manufacturers Investment Trust in the initial offering of common and preferred stock and annual SEC updates. The department also provides advice in structuring tax-free mergers and acquisitions of mutual funds and tax-free conversions of common trust funds to mutual funds.
