Simpson Thacher Represents TD Bank in $8.5 Billion Acquisition of Commerce Bancorp

The firm is representing TD Bank Financial Group in its $8.5 billion acquisition of Commerce Bancorp, Inc., the holding company for Commerce Bank. The stock and cash transaction, which was announced October 2, 2007, will make TD Bank Financial Group the seventh largest bank in North America, as measured by branch locations. The transaction is subject to approval of Commerce's shareholders and regulatory approvals, and is expected to be completed in March or April of 2008.
